Entity Representative Certificates WITH legal personality

Commercial Companies

  • Identity document, TIE or Passport of the representative.
  • Any of the following:
    • In the case of attorneys registered in the Commercial Registry:
      • Commercial Registry certificate regarding the incorporation, legal personality of the entity and the appointment and validity of the position of the legal or voluntary representative, issued within the 20 calendar days prior to the date of submission, or
      • Commercial Registry abstract (nota simple) less than 20 calendar days old, accompanied by the notarial power of attorney and the deed of incorporation of the company.
    • In the case of attorneys not registered in the Commercial Registry
      • Notarial power of attorney, and when it is more than 20 calendar days old, a statutory declaration of the validity of the power.

Public Entities

Subsidiary Companies of Foreign Entities in Spain

  • Valid Identity Document (DNI, TIE or Passport) of the representative.
  • Any of the following documents evidencing representation:
    • Commercial Registry certificate regarding the incorporation, legal personality of the entity and the appointment and validity of the position of the legal or voluntary representative, issued within the 20 calendar days prior to the date of submission, or
    • Commercial Registry abstract (nota simple) less than 20 calendar days old, accompanied by the notarial power of attorney and the deed of incorporation of the company.

Branches of Foreign Entities in Spain

  • Valid Identity Document (DNI, TIE or Passport) of the representative.
  • Certificate from the Spanish consulate of the country where the company is located, proving that the parent company is incorporated in accordance with the legislation of that country, duly legalised or apostilled.
  • Spanish NIF of the entity.
  • Any of the following documents evidencing representation:
    • Commercial Registry certificate regarding the incorporation, legal personality of the entity and the appointment and validity of the position of the legal or voluntary representative, issued within the 20 calendar days prior to the date of submission, or
    • Commercial Registry abstract (nota simple) less than 20 calendar days old, accompanied by the notarial power of attorney and the deed of incorporation of the company.

Associations, Foreign Associations, Foundations or NGOs or Foreign Foundations operating in Spain

  • Valid Identity Document (DNI, TIE or Passport) of the representative.
  • Document from the competent Associations or Foundations Registry issued within the 20 calendar days prior to the date of submission.
  • Deed of incorporation of the entity and public document of the power of the legal representative(s).

Sports Entities

  • Valid Identity Document (DNI, TIE or Passport) of the representative.
  • Founding deed and bylaws registered in the Sports Entities Registry managed by each Autonomous Community, issued within the 20 calendar days prior to the date of submission.
  • Minutes of appointment at the General Assembly of the legal representative(s): president(s). If more than 20 calendar days old, a statutory declaration of the validity of the position.

Religious Entities

  • Valid Identity Document (DNI, TIE or Passport) of the representative.
  • Official Gazette reflecting the incorporation of the public entity.
  • Any of the following documents evidencing representation:
    • Accrediting document issued by the department responsible for personnel (HR, Civil Service) showing the position of the applicant/representative, who will be the holder of the certificate.
    • In the case of attorneys registered in the Commercial Registry:
      • Commercial Registry certificate regarding the incorporation, legal personality of the entity and the appointment and validity of the position of the legal or voluntary representative, issued within the 20 calendar days prior to the date of submission, or
      • Commercial Registry abstract (nota simple) less than 20 calendar days old, accompanied by the notarial power of attorney and the deed of incorporation of the company.
    • In the case of attorneys not registered in the Commercial Registry:
      • Official Gazette of appointment of the senior official (D.G. or S.G. to which the applicant/representative belongs) to determine the position of the person who authorises the obtaining of the certificate, and an authorisation document for the applicant to obtain the representative certificate. It must be signed by the senior official and the secretary general of the corresponding ministry or department, or 
      • Notarial power of attorney, and when it is more than 20 calendar days old, a statutory declaration of the validity of the power.
  • Valid Identity Document (DNI, TIE or Passport) of the representative.
  • Registration document from the Registry of Religious Entities of the Ministry of Justice issued within the 20 calendar days prior to the date of submission.
  • Deed of incorporation of the entity and public document of the power of the legal representative(s), which will vary depending on the entity and its specific regulation (Parishes: the parish priest. Dioceses: the bishop. In other cases: the persons recognised in their bylaws).

Entity Representative Certificates WITHOUT legal personality

For entities without legal personality registrable in a Public Registry:

  • Valid Identity Document (DNI, TIE or Passport) of the representative.
  • Deed of incorporation.
  • Accrediting document regarding the existence of the organisation and the entity's NIF.
    • For example: abstract (nota simple) from the Public Registry where they are registered, issued within the 20 calendar days prior to the date of submission, relating to the existence of the entity and the appointment and validity of the position of the legal representative or administrator.
  • In the case of voluntary representation, a notarial power of attorney, and if it is more than 20 calendar days old, it must be accompanied by a statutory declaration of the validity of the position.

For entities without legal personality not registrable in a Public Registry (joint ownership communities or civil partnerships):

  • Valid Identity Document (DNI, TIE or Passport) of the representative.
  • Power of attorney document of the Applicant.
  • Accrediting document regarding the existence of the organisation and the entity's NIF.
  • Statutory declaration of their position, signed by the president of the entity without legal personality, issued within the 20 calendar days prior to the date of submission.

Company Seal Certificates

  • If the seal applicant is a Representative of the entity:
    • The documentation from the previous sections applies according to the type of entity.
  • If the seal applicant is not a Representative of the entity
    • Document signed by the entity's representative authorising the applicant to proceed with the Seal certificate application.
    • The documentation from the previous sections applies according to the type of entity.
